Terms of Service

These Terms of Service ("Terms") govern your access to and use of YourForeman ("Service"), operated by YourForeman ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

YourForeman is a field diagnostic assistant for HVAC and trade technicians. The Service provides AI-assisted diagnostic checklists, parts recommendations, job reports, and optional integration with QuickBooks Online for invoice creation.

2. Eligibility

You must be at least 18 years old and authorized to use the Service on behalf of your business or employer. By using the Service, you represent that you meet these requirements.

3. Subscriptions and Billing

YourForeman is offered on a subscription basis. By subscribing, you agree to pay the applicable fees for your chosen plan. Fees are billed in advance on a monthly or annual basis. Subscriptions automatically renew unless cancelled before the renewal date. All fees are non-refundable except as required by law or at our sole discretion.

We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, copy, or resell the Service
• Share account credentials with unauthorized users
• Use the Service to generate or distribute false or misleading diagnostic information
• Interfere with or disrupt the integrity of the Service

5. QuickBooks Online Integration

The QuickBooks Online integration is an optional feature that allows you to create invoices in your QBO account directly from the Service. By connecting your QBO account, you authorize YourForeman to access your QBO data solely as described in our Privacy Policy. You may disconnect this integration at any time. YourForeman is not affiliated with or endorsed by Intuit Inc.

6. Disclaimer of Professional Advice

The diagnostic outputs, checklists, parts recommendations, and other content provided by YourForeman are generated by artificial intelligence and are intended solely as a general reference aid for trained trade professionals. The Service does not constitute professional engineering advice, licensed trade services, safety certification, or any form of professional opinion. All outputs must be independently verified by a qualified technician before being acted upon. YourForeman makes no representation that its suggestions are accurate, complete, current, error-free, or suitable for any particular equipment, job site, code jurisdiction, or situation.

Nothing in the Service replaces or supersedes: manufacturer specifications and service manuals; applicable local, state, or federal codes and regulations; occupational safety requirements; or the independent professional judgment of a licensed or certified technician. You are solely responsible for compliance with all applicable laws, codes, and safety standards in connection with any work you perform.

7. Assumption of Risk

Trade and HVAC work involves inherent risks, including the risk of property damage, personal injury, and death. By using the Service, you expressly acknowledge and agree that:

• You are a trained professional or are acting under the supervision of one, and you possess the skills, licenses, and certifications required to perform the work at issue;
• You will apply your own independent professional judgment to all diagnostic and repair decisions, and will not rely solely on the Service's outputs;
• You assume all risk arising from your reliance on, or use of, any output generated by the Service; and
• YourForeman has no control over the conditions, equipment, or actions at any job site and bears no responsibility for outcomes resulting from work performed.

8. Intellectual Property

All content, software, and technology comprising the Service is owned by YourForeman or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes during your subscription term.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOURFOREMAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING WITHOUT LIMITATION:

• Property damage or destruction;
• Personal injury or death;
• Loss of business, revenue, profits, data, or goodwill;
• Cost of substitute services; or
• Any claim by a third party (including your customers or employers),

even if YourForeman has been advised of the possibility of such damages and even if a remedy set forth herein is found to have failed its essential purpose.

In no event shall YourForeman's total cumulative liability to you for all claims arising out of or related to the Service exceed the greater of (a) the total fees paid by you to YourForeman in the three (3) months immediately preceding the event giving rise to the claim, or (b) fifty dollars ($50.00). This limitation applies to all causes of action in the aggregate, including breach of contract, tort (including negligence), strict liability, and any other legal or equitable theory.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, YourForeman's liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless YourForeman and its officers, directors, employees, agents, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your use of the Service or any output generated by the Service;
• Any work performed, or not performed, in connection with any diagnostic or recommendation from the Service;
• Your violation of these Terms or any applicable law, regulation, or code;
• Your violation of any third-party rights, including but not limited to intellectual property, privacy, or professional licensing requirements; or
• Any claim by a customer, employer, property owner, insurer, or other third party arising from services you rendered that involved use of the Service.

YourForeman reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with YourForeman in asserting any available defenses.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Dallas County, Texas.

13. Changes to Terms

We may update these Terms from time to time. We will notify subscribers by email of material changes. Continued use of the Service after changes constitutes acceptance of the updated Terms.
